BACKGROUND INFORMATION

The Click the Carrot Partnership Program was created so companies, organizations, and individuals could easily earn additional revenue by simply publishing our trademarked carrot on their website, newsletter, fliers, etc.

Specifically, we have partnered with landscape and retail garden outlets to provide them another "tool in their toolbox" by being an extension of their business. By extension of their business we mean that Backyard Farmers can act as an additional service to their customers, clients, and readership.

EXAMPLES
For example: If you are a landscaping company and only focus on landscaping - you can include the Backyard Farmers product line into your offering and receive a 7-10% affiliate commission on all sales you generate.

Another example: Now let's say you own a retail garden center and are a partner of the Click the Carrot Partner Program... you can advertise that you offer Food Growing Services by posting our Carrot on your website or on your store fliers with your affiliate link. Any customer who purchases a product using your affiliate link will generate 7-10% commission for you!

HOW YOU MAKE MONEY
You can make money two different ways with the Click the Carrot Partners Program:

1) Post the Carrot: You can post the trademarked Backyard Farmer's Carrot on your website, newsletter, blog, flier, etc. with your affiliate link and when a purchase is make through our website through your affiliate link we will pay you 7-10% commission. Our affiliate management system is very transparent and allows you to see how much in commission you are owed.

2) Install Revenue: If you are a landscape company or retail garden center and are currently visiting client site's regularly you will want to consider installing Backyard Farmers Food Garden Systems for additional revenue and further income generation with your clients.

It's a very easy system we have in place.

When a client in your area orders a system from our website to be installed at their property we redirect the order to you. The customer would have purchased the system through our website and we will ship all components of the system to the client site. All you simply would need to do is connect by phone or email to the client and set up a time for you to come out to their property to install the system. On average you will make about $200 - 400 for about 1.5 hours of work.

TERMS AND CONDITIONS

.This agreement describes the terms and conditions for participation in the Backyard Farmers.com Affiliate Click the Carrot Partners Program, we look forward to you becoming a successful Partner.

AFFILIATE TRACKING
Our affiliate tracking software will create a unique URL specifically for you when you join the program. This URL should be used at all times when directing traffic/customers to the system. This URL is used to track all orders that are directed from your account. The affiliate link will direct your visitors seamlessly to the specific BackyardFarmers.com page you choose.

COMMISSIONS
For an order to generate a commission it must be deemed a valid order. Once an order is processed successfully it will be credited to your affiliate account. As of now you can take advantage that we don't have a cap or a tier system on our affiliate payout structure. Meaning that for every item you sell you will get 7% off of the total sale price. This can be significant considering that our average system sells for $2,000. At some point in the future we will need to implement this tier program because we won't be able to keep up with this volume so act now.

COMMISSION PAYMENTS
Backyard Farmers will make payment for the applicable commissions within approximately 15 days after the end of each calendar month. If a customer returns an order which generated a commission, or if there are any returned checks or charge backs, the amount will be deducted from the next monthly account balance. Commissions will only be paid on sales that are made through qualified Affiliate Sites and fall within our guidelines.

CUSTOMER SERVICE
Backyard Farmers, LLC will be solely responsible for processing every order placed by a customer. Backyard Farmers reserves the right to reject any order that does not comply with our rules, operating procedures and policies.

ORDER FULFILLMENT
Customers who purchase products and services through the Backyard Farmers Affiliate Partners Program will be deemed to be customers of Backyard Farmers. Accordingly, all BackyardFarmers.com rules, policies, and operating procedures concerning customer orders and services will apply to those customers. Prices and availability of our products and services may vary from time to time. BackyardFarmers.com policies will always determine the price paid by the customer. We may change our policies and operating procedures from time to time.

AFFILIATE RESPONSIBILITY
BackyardFarmers.com reserves the right not to accept any site or person into the BackyardFarmers.comm Affiliate Partners Program based on their site's content. Sites and affiliates that do not qualify for the BackyardFarmers.com Affiliate Partners Program include sites or people who: - Use any form of Unsolicited / Spam Promotion emails or methods - Use any form of misleading information or statements - Claim false statements about the effects of our products or services we provide - Scumware or Malware Software - Any affiliate who promotes the BackyardFarmers.com Affiliate Partners Program by any of the means above may have there account terminated and any outstanding commissions will become void.

RESPONSIBILITY OF AFFILIATES WEBSITES
You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. You will be responsible for: The accuracy and appropriateness of materials posted on your site (including, among other things, all product-related materials) Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights) Ensuring that materials posted on your site are not defamatory or otherwise illegal. Ensuring that your site abides by the BackyardFarmers.com internet distribution protocol.

RELATIONSHIP OF PARTIES
You and BackyardFarmers.com are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf, or us on your behalf. Please make no statement, whether on your site or otherwise, that would contradict this statement. This agreement may be terminated by either party without prejudice.

LIMITATION OF LIABILITY
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

DISCLAIMER
We make no express or implied warranties or representations with respect to the BackyardFarmers.com Affiliate Partners Program or your potential to earn income from the program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting the BackyardFarmers.com Affiliate Partners Program enrolment form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
